Terms of Service

These terms govern your use of AgentSynth — the desktop application, the website at agentsynth.app, and the hosted AI service behind it (together, "the Service"). By downloading, installing or using AgentSynth, you agree to them.


1. Who you are contracting with

AgentSynth is operated by Tal Efronny, an individual trader based in Israel (Netanya, Israel). "We", "us" and "our" refer to that person. Contact: support@agentsynth.app.

Payments are handled by a separate company — see §8.

2. Acceptance and eligibility

You must be at least 16 years old, or the minimum age of digital consent in your country if that is higher. If you use AgentSynth on behalf of an organisation, you confirm you are authorised to accept these terms for it.

If you do not agree to these terms, do not use the Service.

3. Licence to use the software

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use AgentSynth on devices you own or control, for personal or commercial music production.

You may not: redistribute, resell, sublicense or rent the software; reverse-engineer, decompile or disassemble it except where that right cannot lawfully be excluded; remove or alter proprietary notices; or circumvent licensing, quota or entitlement checks.

The software is licensed, not sold. We retain all rights not expressly granted.

4. Your account

Sign-in is via Google. You are responsible for keeping access to your Google account secure and for activity under your AgentSynth account. Accounts are for a single person — see the Acceptable Use Policy for the rules on sharing.

You can stop using the Service at any time, and you can ask us to delete your account (see the Privacy Policy).

5. Your patches are yours

You own the patches, presets, projects and audio you create with AgentSynth, including those generated with AI assistance. We claim no ownership, no licence and no royalty over them. You may use them commercially without restriction or attribution.

This is deliberate and we do not intend to change it.

AgentSynth can run AI generation in two ways, and the difference matters:

The Privacy Policy and the Subprocessors page name the provider and explain exactly what is sent. Where hosted mode is the default, we will make that visible in the application before your first request is sent.

8. Plans, pricing and payment

AgentSynth has a free tier and a paid Pro subscription. Current prices are shown at agentsynth.app and at checkout, in your local currency where available.

Payments are processed by Polar Software Inc. as Merchant of Record. Polar is the seller of record for your purchase: it issues your invoice, handles VAT and sales tax in your jurisdiction, and manages your billing. Polar's own terms apply to the payment transaction, and your billing portal is hosted by Polar. We never see or store your card details.

Subscriptions renew automatically at the then-current price for your billing interval until cancelled. Promotional pricing applies for the stated duration from your own signup date and then reverts to the standard price without further notice.

Refunds are covered by our Refund Policy.

9. Quotas and fair use

Paid and free tiers include usage limits — a number of AI generations over a period, and caps on prompt size and tokens per request. Limits are shown in the application and may change; we will give notice before reducing a limit on a paid plan.

We may apply rate limiting, and we may suspend generation for accounts whose usage threatens the stability of the Service or the terms of our inference provider.

10. Acceptable use

Your use of the Service is subject to our Acceptable Use Policy, which is part of these terms. Note in particular that because we forward your prompts to a third-party inference provider, that provider's usage policies apply to your prompts as well as ours.

11. Availability

The Service is provided on an "as available" basis. There is no uptime guarantee and no service-level agreement. AgentSynth is operated by one person; outages may not be resolved immediately, and our inference provider's outages will take the Service down with them.

Local mode continues to work when the hosted service does not. That is one reason it remains a first-class option.

12. Changes to the Service

We may add, change or remove features. If we make a change that materially reduces the functionality of a paid plan, we will give reasonable notice and you may cancel and request a pro-rata refund for the unused portion of your term.

We may discontinue the Service entirely. If we do, we will give at least 30 days' notice, stop charging, and refund the unused portion of any prepaid term.

13. Suspension and termination

We may suspend or terminate your access if you breach these terms or the Acceptable Use Policy, if required by law, or if your use creates a security or abuse risk. Where practical we will warn you first; for serious breaches we may act immediately.

You may cancel at any time through the Polar billing portal. Cancellation stops future renewals and leaves your access active until the end of the current period.

On termination, your licence ends and you should uninstall the software. Sections 5, 6, 14, 15, 16 and 17 survive.

14. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

Nothing in these terms excludes liability that cannot lawfully be excluded — including, for consumers in the EU and UK, your statutory rights regarding conformity of digital content.

15. Limitation of liability

To the fullest extent permitted by law:

These limits do not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or to any other liability that cannot lawfully be limited. Consumer statutory rights are unaffected.

Back up your work. We are not responsible for lost projects.

16. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from your breach of these terms or the Acceptable Use Policy, or from your use of generated output.

This does not apply where you are acting as a consumer and the claim arises from our own breach or negligence.

17. Governing law and disputes

These terms are governed by the laws of Israel, and the courts of Israel have jurisdiction.

If you are a consumer resident in the EU or the UK, this does not deprive you of the protection of the mandatory consumer-protection rules of your country of residence, and you may bring proceedings in your local courts. EU consumers may also use the European Commission's Online Dispute Resolution platform.

18. Changes to these terms

We may update these terms. For material changes we will give at least 30 days' notice by email or in the application before they take effect, and continuing to use the Service after that means you accept them. If you do not accept, you may cancel and request a pro-rata refund for the unused portion of your term.

The current version and effective date are always at the top of this page.

19. Miscellaneous

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms; we may assign them in connection with a transfer of the Service, on notice to you.

These terms, together with the Privacy Policy, Refund Policy and Acceptable Use Policy, are the entire agreement between us regarding the Service.
